I. TERMS OF SERVICE

Master Service Agreement. This Master Service Agreement ("Agreement") governs relationship between WhitedovesTech ("Provider") and individual or entity ("Client") accessing our Digital Nervous System infrastructure. WhitedovesTech operates under two distinct commercial channels: Professional Services (bespoke development) and Product Acquisitions (standalone SaaS products).

Section 1: Scope of Agreement and Engagement Models

WhitedovesTech provides technology solutions through two primary engagement models, each with distinct terms and deliverables:

  • Professional Services: Bespoke development, system upgrades, and technical consulting provided on a project-by-project basis. Each engagement is governed by an independent Statement of Work (SOW) outlining specific deliverables, timelines, and acceptance criteria.
  • Product Acquisitions: The purchase of standalone SaaS products or pre-configured project builds. These offerings include standard licensing terms, service level commitments, and ongoing maintenance provisions.
  • Hybrid Engagements: Clients may combine Professional Services with Product Acquisitions for comprehensive digital transformation initiatives, with integrated billing and unified support structures.

Section 2: Intellectual Property and Proprietary Rights

Intellectual property ownership is clearly defined to protect both Provider innovations and Client investments:

  • Proprietary Frameworks: Provider retains all right, title, and interest in core automation engines, neural architectures, and future Unified APIs. No transfer of "Digital Nervous System" engine source code is implied through service or product acquisition.
  • Client Deliverables: Upon satisfaction of all financial obligations, Provider hereby assigns to Client intellectual property rights to custom-developed assets and frontend interfaces created specifically for Client's project.
  • Usage Restrictions: Client shall not reverse-engineer, decompile, or attempt to extract source code of Provider's core frameworks. License grants are limited to specific use cases outlined in individual agreements.
  • Third-Party Components: Provider may incorporate open-source or licensed third-party components, with all such components subject to their respective licensing terms and attribution requirements.

Section 3: Project Upgrades and Service Delivery

Service delivery and upgrade processes are structured to ensure accountability and quality assurance:

  • Service Requests: Upgrades to existing systems are treated as new service engagements and governed by an independent Statement of Work (SOW). This ensures clear scope definition and deliverable acceptance.
  • Accountability: As a solo-led enterprise, WhitedovesTech ensures that all development is overseen directly by founder, maintaining a high standard of code integrity and architectural consistency.
  • Quality Assurance: All deliverables undergo comprehensive testing including code review, performance validation, and security assessment before client acceptance.
  • Documentation Transfer: Upon project completion, clients receive complete technical documentation, deployment guides, and architectural diagrams for system maintenance and future enhancements.
